Please read these Terms of Service ("Terms") carefully before using the EchoVote service operated by CNSDR ("us", "we", "our", or "EchoVote").

1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including:
Account holders who create workspaces
Team members invited to workspaces
End-users who submit feedback, vote, or comment on workspaces
2. Description of Service
EchoVote is a feedback management platform that allows businesses to:
Collect feature requests and feedback from their users
Allow users to vote and comment on ideas
Manage product roadmaps
Publish changelogs
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
3. Account Registration
3.1 Eligibility
When you create an account with us, you guarantee that:
You are at least 18 years of age
You have the legal capacity to enter into binding contracts
The information you provide is accurate, complete, and current
3.2 Account Security
You are responsible for:
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
You may not:
Use another person's or entity's name without authorization
Use a name that is offensive, vulgar, or obscene
Share your account credentials with third parties
3.3 Account Termination
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, including but not limited to cases of:
Breach of these Terms
Fraudulent or illegal activity
Non-payment of fees
Abusive behavior toward our staff or other users
4. Subscriptions and Payments
4.1 Billing
Some parts of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring basis ("Billing Cycle"), either monthly or annually, depending on the plan you select.
4.2 Automatic Renewal
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless:
You cancel it before the renewal date
We cancel it
You may cancel your Subscription at any time through your account settings or by contacting us at support@echovote.xyz.
4.3 Payment Information
A valid payment method is required to process payment for your Subscription. By submitting payment information, you authorize us to charge all Subscription fees to your payment method via our payment processor, Stripe.
You agree to provide accurate and complete billing information, including:
Full name
Company name (if applicable)
Address
Valid payment method
4.4 Failed Payments
If automatic billing fails, we will issue an electronic invoice. You must complete payment within the deadline indicated on the invoice to maintain access to the Service.
4.5 Price Changes
We may modify Subscription fees at any time. Any price change will:
Become effective at the end of your current Billing Cycle
Be communicated to you at least 30 days in advance
Your continued use of the Service after a price change constitutes acceptance of the new pricing.
4.6 Refunds
Refund requests may be considered on a case-by-case basis at our sole discretion. We are not obligated to provide refunds except where required by applicable law.
4.7 Taxes
All fees are exclusive of applicable taxes (including VAT). You are responsible for paying all taxes associated with your use of the Service, except for taxes based on our net income.
5. Free Trial
We may offer a free trial for a limited period at our sole discretion.
You may be required to provide billing information to sign up
You will not be charged until the free trial expires
Unless you cancel before the trial ends, you will be automatically charged the applicable Subscription fee
We reserve the right to modify or cancel free trial offers at any time without notice
6. User Content
6.1 Your Content
The Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material ("Content").
You are solely responsible for the Content you post, including its:
Legality
Reliability
Appropriateness
Accuracy
6.2 Ownership
You retain all rights to any Content you submit, post, or display on or through the Service. We do not claim ownership of your Content.
6.3 License to Us
By posting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publicly display, and distribute such Content solely for the purpose of operating and providing the Service.
This license includes the right to make your Content available to other users of the Service (e.g., displaying feedback posts to voters).
6.4 Representations
By posting Content, you represent and warrant that:
You own the Content or have the right to use it
Posting the Content does not violate any third party's rights (including privacy, publicity, copyright, or contract rights)
The Content does not contain illegal, harmful, or objectionable material
6.5 Our Rights
We have the right, but not the obligation, to:
Monitor Content posted on the Service
Remove or refuse any Content at our sole discretion
Terminate accounts that infringe on copyrights or violate these Terms
7. Customer Data and Data Processing
7.1 Your Data
You retain ownership of all data you upload to the Service ("Customer Data"), including feedback, user information, and workspace content.
7.2 Data Processing
When you use EchoVote to collect feedback from your users:
You are the Data Controller for your end-users' personal data
We act as the Data Processor on your behalf
Our processing of personal data is governed by our Data Processing Agreement, which forms part of these Terms for business customers.
7.3 Your Responsibilities
You are responsible for:
Ensuring you have a valid legal basis to collect data from your end-users
Providing appropriate privacy notices to your end-users
Responding to data subject requests from your end-users
Complying with applicable data protection laws (including GDPR)
7.4 Data Export
You may export your Customer Data at any time through the Service or by contacting us.
7.5 Data Deletion
Upon termination of your account, we will delete your Customer Data within 30 days, unless:
We are required to retain it by law
You request an earlier deletion
You request a data export before deletion
8. Acceptable Use Policy
By using the Service, you agree NOT to:
8.1 Illegal Activities
Violate any applicable laws or regulations
Engage in fraudulent, deceptive, or misleading practices
Infringe on intellectual property rights of others
8.2 Harmful Content
Post content that is defamatory, obscene, or offensive
Distribute malware, viruses, or harmful code
Share content depicting violence, abuse, or illegal activities
Post spam or engage in phishing
8.3 Platform Abuse
Attempt to gain unauthorized access to the Service or other users' accounts
Interfere with or disrupt the Service or servers
Use automated means to access the Service without permission (scraping, bots)
Circumvent any access restrictions or usage limits
Resell or redistribute the Service without authorization
8.4 Abuse of Others
Harass, threaten, or intimidate other users
Impersonate another person or entity
Collect personal information of other users without consent
We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending accounts, and reporting to law enforcement.
9. Intellectual Property
9.1 Our Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of CNSDR and its licensors.
The Service is protected by copyright, trademark, and other intellectual property laws of the Netherlands and the European Union.
9.2 Trademarks
Our name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks. You may not use these marks without our prior written permission.
9.3 Feedback to Us
If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
10. Use of Customer Logos
By agreeing to these Terms, you grant us a non-exclusive, worldwide, royalty-free license to use your company name and logo on our website and marketing materials solely to identify you as a customer of EchoVote.
You may request removal of your logo by contacting us at support@echovote.xyz. We will remove your logo within 30 days of receiving your request.
11. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by us.
We have no control over, and assume no responsibility for:
The content, privacy policies, or practices of third-party sites
Any damage or loss caused by your use of third-party services
We strongly advise you to read the terms and privacy policies of any third-party services you access.
12. Service Availability
12.1 Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
Scheduled maintenance (we will provide advance notice when possible)
Unscheduled maintenance or emergency repairs
Factors beyond our control (internet outages, force majeure)
12.2 Support
Support is available via email at support@echovote.xyz. Response times depend on your Subscription plan.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
IMPLIED WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF CONTENT
WE DO NOT WARRANT THAT:
The Service will be uninterrupted, secure, or error-free
Any errors or defects will be corrected
The Service is free of viruses or harmful components
The results of using the Service will meet your requirements
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CNSDR, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:
Indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, use, goodwill, or other intangible losses
Damages resulting from:
Your access to or use of (or inability to access or use) the Service
Any conduct or content of third parties on the Service
Unauthorized access, use, or alteration of your content
THIS APPLIES WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
MAXIMUM LIABILITY: Our total liability to you for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the six (6) months preceding the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless CNSDR and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you post on the Service
Your violation of applicable laws
16. Governing Law and Disputes
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
16.2 Jurisdiction
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.
16.3 EU Consumer Rights
If you are a consumer in the European Union, you may also have rights under the consumer protection laws of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.
16.4 Dispute Resolution
Before initiating legal proceedings, you agree to contact us at legal@echovote.xyz to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
17. Changes to Terms
We reserve the right to modify these Terms at any time.
Material changes: We will provide at least 30 days' notice before new terms take effect, via email or prominent notice on the Service
Non-material changes: May be made without advance notice
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
19. Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. Any waiver must be in writing and signed by us.
20. Entire Agreement
These Terms, together with our Privacy Policy and Data Processing Agreement (where applicable), constitute the entire agreement between you and CNSDR regarding the Service, and supersede any prior agreements.
21. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
